What is Trademark Assignment?

Trademark assignment is the transfer of ownership of a registered or pending trademark from one entity (the Assignor) to another (the Assignee). Under Section 37–45 of the Trade Marks Act, 1999, trademarks are personal property and can be assigned with or without the goodwill of the business. Assignment must be in writing (an Assignment Deed) and the assignee must apply to the Trade Marks Registry to record the change of proprietorship using Form TM-P. Assignment may be absolute (transfer of all rights), partial (specific goods/services or geographic areas), or with conditions. Trademark assignment commonly occurs in mergers and acquisitions, restructuring, family business succession, and brand monetisation transactions.

Types of Trademark Assignment

Absolute Assignment:

Complete transfer of all rights in the trademark — ownership, goodwill, and all associated rights — to the assignee with no conditions or restrictions.

Assignment with Goodwill:

Transfer of the mark along with the business reputation and customer goodwill associated with it. The assignee can use the mark for the same goods/services as the assignor.

Assignment without Goodwill:

Transfer of the legal right to the mark, but the assignor retains the goodwill and continues using the mark for the same business. The assignee uses the mark for different goods/services.

Partial Assignment:

Transfer of rights for specific goods/services only, or specific geographic territories, while the assignor retains the mark for other categories or regions.

What is the difference between assignment with and without goodwill?+
Assignment with goodwill transfers the mark along with the reputation and business associated with it — the assignee inherits all the brand equity. Assignment without goodwill transfers only the legal right to the mark without the associated business reputation. The assignee cannot use the mark for goods/services for which the assignor continues to use it.
Can a trademark be partially assigned?+
Yes — partial assignment restricts the transfer to specific goods/services within the registered class or to specific geographic territories, while the assignor retains rights for other goods/services or regions. However, partial assignments cannot create confusion in the marketplace.
What is Form TM-P?+
Form TM-P is the application filed with the Trade Marks Registry to record a change of ownership or other transmission of a registered trademark. The government fee is ₹9,000 per mark for e-filing. Once Form TM-P is processed, the Registry issues an updated registration certificate showing the new proprietor's name.
Is stamp duty applicable on trademark assignment deeds?+
Yes — Assignment Deeds are stamped documents. Stamp duty varies by state (typically ₹500–₹2,000 on the assignment deed itself, separate from the TM Registry government fee). The deed must be executed on stamp paper of appropriate denomination.
Can a trademark be assigned as part of a company acquisition?+
Yes — in company acquisitions, trademarks owned by the target company are typically transferred as part of the business assets. This may be done through a Business Transfer Agreement or specific Trademark Assignment Deeds. Where the company itself is acquired (share purchase), the trademarks remain with the company entity and no separate assignment is needed.
