What is a Trade Licence?

A Trade Licence (also known as a Business Licence or Municipal Licence) is issued by the local municipal corporation or panchayat to authorise a business to carry on specific trade or commercial activities from a given premises. The Shops and Establishments Act (enacted by each state) regulates working conditions, working hours, holidays, and employment terms — registration under this Act is mandatory for every shop, commercial establishment, and office within days of commencing operations. Municipal corporations may also require separate health licences, fire NOCs, and environment clearances depending on the nature of the business. A Trade Licence must be renewed annually and displayed prominently at the business premises.

Types of Licences We Obtain

Municipal Corporation Trade Licence:

Issued by local municipal bodies (BBMP, MCGM, NDMC, etc.) for all commercial establishments. Required for shops, offices, warehouses, restaurants, and industrial units.

Shops & Establishments Act Registration:

State labour department registration regulating working conditions, hours, and employment. Mandatory for all shops and commercial establishments within 30 days of commencement.

Health / Sanitation Licence:

Municipal health department licence for food service establishments, hotels, and businesses affecting public health. Typically required alongside or as part of the Trade Licence.

Fire NOC:

Fire safety clearance from the state fire department — required for restaurants, hotels, cinemas, shopping complexes, and premises above specified floor areas.

Certificate of Incorporation, PAN of company, MOA/AOA or LLP agreement, board resolution, authorised signatory's ID proof, premises proof

Consequences of Non-Compliance

Operating without a licence:

Fine up to ₹2,000 per day in most municipal corporations. Repeated offences attract double penalties.

Operating with an expired licence:

Treated the same as operating without a licence. Late renewal attracts a late fee of 10–25% of the annual licence fee per month of delay.

Show-cause notice:

Municipal inspectors can issue a notice requiring the business to appear and explain why the premises should not be sealed or penalised.

Premises sealing:

Prolonged non-compliance authorises the municipal authority to seal the premises and halt operations until the licence is obtained and dues cleared.

Renewal & Compliance Timeline

Annual renewal window

Most municipal corporations require renewal before 31 March each year. Some cities (MCGM, BBMP) send renewal notices in February.

Late fee trigger

Renewal after 31 March typically attracts a late fee of ₹100–500 per month depending on the city and licence category.

Amendment on change

If the address, trade category, or business name changes, an amendment application must be filed within 30 days of the change.

Cancellation on non-renewal

Many corporations auto-cancel licences not renewed within 3 months of expiry, requiring a fresh application and re-inspection.
