Annual Compliance for Non-Profit Entities

Non-profit organisations in India operate under a layered compliance framework spanning income tax, corporate law, and special regulatory requirements. A Section 8 Company must file ROC annual returns (AOC-4 and MGT-7) just like a regular company. A charitable trust or society must file ITR-7 and maintain 12A/80G compliance. Nidhi Companies have a unique set of ROC returns (NDH-1, NDH-2, NDH-3) in addition to standard company filings. Organisations with FCRA registration must file FC-4 returns by December 31. Those receiving CSR funds may need to file CSR-2 with MCA. The 12A/80G registrations must be renewed on Form 10AB before the 5-year provisional/final period expires. Golden Verdict's non-profit compliance package covers all these filings under a single annual engagement — with proactive reminders and expert guidance throughout the year.

Why Golden Verdict For
NGO / Trust / Society Annual Compliance?

Non-profit compliance is frequently neglected because organisations focus on programme delivery rather than regulatory filings. The consequences can be severe: lapse of 12A exemption triggers full tax on accumulated reserves, cancellation of 80G means donors lose their deduction benefit, ROC default for Section 8 Companies attracts daily penalties and director disqualification, and FCRA non-compliance results in registration cancellation. Golden Verdict assigns a dedicated compliance manager to your organisation, maintains a filing calendar, prepares all returns in-house, and ensures all regulatory obligations are met without disrupting your mission.

Your mission shouldn't pause for compliance. Golden Verdict keeps your filings current so your organisation keeps moving forward.

Frequently Asked Questions

Which income tax form does a Trust or Society file?+
Trusts and Societies registered under Section 12A file ITR-7 (the return for organisations claiming exemption under Sections 11 and 12). The ITR-7 includes details of income received, expenditure on charitable activities, accumulation of surplus, and application of funds.
Does a Section 8 Company have to file ROC annual returns?+
Yes. A Section 8 Company is a company incorporated under the Companies Act, 2013 and must file: Form AOC-4 (financial statements) by November 29 and Form MGT-7 (annual return) by November 29 every year. Non-filing attracts penalties of ₹100/day per form.
What are Nidhi Company-specific compliance requirements?+
Nidhi Companies must file: NDH-1 (half-yearly return on members, deposits, and loans) by September 30 and March 31; NDH-2 (application for extension if 200-member threshold not met) within 30 days of financial year end; NDH-3 (return on deposits, members, loans, and reserves). Plus standard AOC-4 and MGT-7 filings.
When must 12A/80G registration be renewed?+
Provisional 12A/80G registration (issued via Form 10A) is valid for 3 years. Final registration (Form 10AB) is valid for 5 years. Both must be renewed by filing Form 10AB at least 6 months before expiry. Lapse results in loss of income tax exemption from the date of expiry.
What is the FCRA annual return?+
FCRA-registered organisations must file Form FC-4 annually with the Ministry of Home Affairs by December 31, disclosing: total foreign contributions received during the year, source-wise breakdown, purpose of receipt, and utilisation statement. Non-filing leads to FCRA cancellation.
