What is Change of Registered Office?
Every company must have a registered office address on record with the Registrar of Companies (ROC). This address is used for all official correspondence, notices from MCA, and as the company's legal domicile. When a company relocates, it must update its registered office through the prescribed procedure under Sections 12 and 13 of the Companies Act, 2013. The complexity of the process depends on the nature of the move: (1) within the same city/town — simplest; (2) outside city but within the same state under the same ROC — moderate; (3) outside the ROC jurisdiction but within the same state — requires Regional Director approval; (4) from one state to another — requires Central Government (Regional Director) approval and MOA amendment.
