Changing a registered company's name is governed by Section 13 of the Companies Act, 2013. The process involves: (1) checking availability of the new name through the ROC Name Availability system, (2) filing a Reserve Unique Name (RUN) application to reserve the name, (3) passing a special resolution at a General Meeting, (4) filing Form INC-24 (Application for change of name) with the ROC, and (5) filing Form MGT-14 (special resolution filing). Once the ROC approves, a fresh Certificate of Incorporation in the new name is issued. The company must then update all documents — MOA, AoA, letterheads, websites, bank accounts, GST certificate, and all regulatory registrations — within 30 days of the name change.
