What is a Designated Partner in an LLP?

A Limited Liability Partnership (LLP) must have at least 2 Designated Partners (DPs) at all times under the LLP Act, 2008. Designated Partners are personally responsible for compliance — including filing annual returns, maintaining statutory registers, and ensuring the LLP's legal obligations are met. They must hold a Designated Partner Identification Number (DPIN), which is the same as a Director Identification Number (DIN) and is issued by MCA. When a new Designated Partner is added, the LLP must: (1) obtain the incoming DP's consent letter, (2) file Form 4 (Notice of Appointment of Designated Partner) with the ROC within 30 days, (3) amend the LLP Agreement to reflect the new DP, and (4) file the amended LLP Agreement in Form 3 with the ROC within 30 days of the amendment.

Requirements for Adding a Designated Partner

  • Incoming Designated Partner must be an individual (not a corporate entity)
  • Must hold a valid, active DPIN/DIN — apply for DIN first if not already held
  • Must not be disqualified from holding directorship under Companies Act
  • Must not be adjudged insolvent or convicted of fraud
  • Consent letter from the incoming DP is mandatory before Form 4 filing
  • All existing Designated Partners must consent to the LLP Agreement amendment

What is the difference between a Partner and a Designated Partner in an LLP?+
All Designated Partners are Partners, but not all Partners are Designated Partners. A Designated Partner takes on specific compliance responsibilities — they sign and file annual returns, financial statements, and are personally liable for penalties if the LLP defaults on statutory obligations. At least 2 of the LLP's partners must be Designated Partners.
Can a body corporate be a Designated Partner?+
Yes, a body corporate can be a partner in an LLP, but a Designated Partner must be an individual. If a body corporate is a partner, it must nominate an individual who will act as the Designated Partner on its behalf.
What is DPIN?+
DPIN (Designated Partner Identification Number) is the same as DIN (Director Identification Number). Since 2011, a single DIN/DPIN is used across both LLPs and companies. An existing DIN holder does not need a separate DPIN.
What are the consequences of an LLP having fewer than 2 Designated Partners?+
If an LLP has fewer than 2 Designated Partners for more than 6 months, it contravenes Section 7 of the LLP Act. Every Partner of the LLP is jointly and severally liable for the obligations of the LLP during this period — the limited liability protection is lost.
Must the LLP Agreement be amended when adding a Designated Partner?+
Yes. The LLP Agreement must be amended to include the new Designated Partner's name, contribution, and rights. The amendment requires the consent of all existing Designated Partners and must be filed in Form 3 with the ROC within 30 days of the amendment date.
